Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of Rainledger, a procurement intelligence platform operated by Wisteria Co. ("Rainledger," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of service

Rainledger ingests publicly available government procurement records and synthesizes them into ranked, firm-specific opportunity intelligence. The Service is designed for small professional-service firms pursuing U.S. federal, state, and local government contracts.

The Service is in early access. Features, data coverage, and match methodology are actively being developed and may change. We will communicate material changes to registered users.

3. Eligibility

You must be at least 18 years old and authorized to act on behalf of the firm you register to use the Service. By creating an account, you represent that these conditions are met.

4. Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@rainledger.com if you believe your account has been compromised.

One account per firm during early access. Account sharing or resale is not permitted.

5. Acceptable use

You may use the Service to identify and evaluate government procurement opportunities for your firm's legitimate business development purposes. You may not:

• Scrape, copy, or redistribute Rainledger data or match results to third parties at scale
• Use the Service to build a competing product or data service
• Attempt to access accounts, data, or systems other than your own
• Use the Service in violation of any applicable law or regulation
• Introduce malware, bots, or automated tools that disrupt the Service

6. Data accuracy and informational purpose

Rainledger synthesizes publicly available government records and provides match assessments based on your firm profile. All information is provided for informational and business development purposes only.

Rainledger is not a legal advisor, compliance service, or contracting authority. Match scores and opportunity intelligence do not constitute legal advice, bid recommendations, or guarantees of any outcome. You are solely responsible for your firm's business development decisions and proposal submissions.

We cannot guarantee the completeness, accuracy, or timeliness of government source data. Always verify information directly with the applicable government agency before acting on it.

7. Intellectual property

Rainledger and its matching methodology, scoring algorithms, user interface, and original content are the property of Wisteria Co. and are protected by applicable intellectual property laws.

Underlying government records and third-party source materials remain subject to the rights, terms, restrictions, and legal status applicable to their original sources. Rainledger does not claim ownership of underlying government records merely because they are indexed, analyzed, summarized, or linked through the Service.

Your firm profile data remains yours. By submitting firm profile data to Rainledger, you grant us a limited license to use it to operate the matching engine on your behalf.

8. Subscription and payment

Subscription pricing and payment terms will be specified at the time billing is introduced. During early access, we may offer the Service at no charge or at a founding-member rate. We will provide advance notice before any billing begins.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. RAINLEDGER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM INACCURATE DATA.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISTERIA CO. AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

You may terminate your account at any time by contacting support@rainledger.com. We may suspend or terminate your account if you violate these Terms or if the Service is discontinued.

Sections 6 (Data accuracy), 7 (Intellectual property), 9 (Disclaimers), and 10 (Limitation of liability) survive termination.

12. Governing law

These Terms are governed by the laws of the United States. The specific governing state jurisdiction will be updated upon completion of Wisteria Co.'s legal entity formation and prior to general commercial launch. For questions about jurisdiction, contact us at support@rainledger.com.

13. Changes to these terms

We may update these Terms from time to time. We will notify registered users of material changes by email or by posting a notice within the application at least 14 days before changes take effect. Continued use after that date constitutes acceptance.
